November 17, 2025, Partner Legal Update

HubSpot recently updated the following documents, which we are including here for your convenience, that may apply to your use of our services or websites:

We've also made minor drafting clean-ups and clarifications across the terms.

 

We wanted to give you some information on what's changed below. Please remember that this is just an informal, high-level summary of the most recent changes to these documents, and that you should always make sure you've read and understood the complete HubSpot Solutions Partner Program Agreement before you participate in our Solutions Partner Program.

HubSpot Solutions Partner Program Agreement

  • We've added a table of contents at the beginning of the Agreement and updated section numbering and formatting throughout to improve navigation in the document.
  • We've added several new program definitions to support program updates, including Program Rules of Engagement (rules for how partners work with our sales team), Touchless Credit (Revenue Share and/or Sold MRR tier credit related to Touchless Purchase transactions), Touchless Purchase (purchases made by End Users directly from HubSpot without partner or sales team involvement), and Upsell (transactions where partners can earn Revenue Share and Sold MRR tier credit when upselling existing HubSpot customers to higher MRR).
  • We've clarified how Cross Sell transactions work, including updated eligibility criteria and our discretion in determining applicability. Cross Sell is now defined as transactions allowing partners to earn Revenue Share and/or Sold MRR tier credit on sales of Subscription Services to existing End Users, subject to eligibility requirements.
  • We've updated the Shared Deal definition to clarify that only closed-won Shared Deals with appropriate proof of involvement (POI) attached will be eligible for Revenue Share and credit consideration. Revenue Share and credit will not be granted retroactively on deals that don't meet these requirements.
  • Partners may now be eligible to receive Revenue Share for Touchless Purchases on product lines where they hold the most recent closed-won Shared Deal, provided certain timing and eligibility conditions are met as outlined in the Program Rules of Engagement.
  • We've clarified how Revenue Share is calculated for different transaction scenarios, including Net Upsells (partners receive Revenue Share on net Upsell MRR for product line upsells), Downgrades (Revenue Share is reduced pro rata when product line MRR downgrades occur), Edition Tier Upgrades (tier upgrades from Starter to Professional or Enterprise are eligible for Revenue Share on the net upsell amount), Legacy Revenue Share (continued Revenue Share for partners managing legacy product lines, subject to quarterly review), and Previous Transactions (upsell transactions on a product line before November 17, 2025, are not considered Qualified Transactions).
  • We've updated the Proprietary Rights section to clarify that partner feedback (solicited or otherwise) when it comes to our products, services, pricing or programs will not be Participant Confidential Information and HubSpot owns all rights to use and incorporate it without payment or attribution.
  • Our notice address has been updated to direct correspondence to the attention of "Legal”.

Optional Partner Program, Pilot, and Beta Terms

  • We have deleted the ‘Beta Specific Details’ for the ‘Deal Based Model Beta’ section in its entirety, as this Beta has moved to general availability, and the applicable details can now be found in the Solutions Partner Program Agreement.
    • Please note, the applicable termination notice for the Deal Based Model Beta is covered under the announcement that the Solutions Partner Program Agreement has been updated for global, general availability.
